This End User Licence Agreement (“Agreement”) constitutes a legally binding contract between Loviero Design Ltd (“the Licensor”, “we”, “our”, “us”) and any natural or legal person who accesses, downloads, installs, or otherwise uses our software, digital products, creative content or online platforms (“the User”, “you”, “your”).
This Agreement governs the terms of use, intellectual property rights, data handling and liability limitations applicable to any digital product, service or software solution made available by Loviero Design Ltd through lovieroltd.com or other authorised distribution channels.
By installing, accessing, registering or using any of our products or services, you acknowledge that you have read, understood and agreed to be bound by this Agreement. If you do not agree, you must not use, copy, install or otherwise engage with our products.
PURPOSE AND SCOPE OF LICENCE
This Agreement defines the rights granted to you for the use of Loviero Design Ltd’s software, design assets, source code, digital tools, templates, or any related services, whether delivered online or through downloadable media.
The licence is provided strictly in accordance with the terms set out below and does not constitute a sale of the product or transfer of ownership.
Loviero Design Ltd develops and maintains interactive entertainment software, information systems, specialised design products and other digital assets, each of which may include underlying proprietary technology, visual design, audiovisual materials, code frameworks and documentation.
GRANT OF LICENCE
Upon lawful acquisition, Loviero Design Ltd grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to install, access and use the licensed product for personal or business purposes strictly in accordance with this Agreement.
The licence is intended solely for the use defined by the product’s documentation and does not authorise reproduction, modification or redistribution. Any rights not expressly granted herein remain fully reserved by Loviero Design Ltd.
You may install and use the product on your own devices within your organisation, provided that each user operates within the permitted terms. Multi-user or enterprise use requires a separate written agreement.
RESTRICTIONS ON USE
You agree that you shall not under any circumstances:
copy, reproduce or distribute the software or its content except as expressly permitted
modify, translate, decompile, reverse-engineer or disassemble the software or any of its components
use the product to develop derivative works or competitive software
sublicense, lease, sell, rent or transfer any portion of the software or its licence
use the software for unlawful, defamatory or unethical purposes
incorporate it into automated systems such as bots, web scrapers or data harvesting tools
use it in connection with artificial intelligence training or machine learning without express written consent from Loviero Design Ltd
Violations of this section will result in immediate termination of the licence and may expose the user to civil and criminal liability.
INTELLECTUAL PROPERTY OWNERSHIP
All rights, title and interest in and to the licensed products, software, artwork, design systems, architecture, algorithms, source code, trademarks and associated intellectual property remain the exclusive property of Loviero Design Ltd or its respective licensors.
The licence granted does not convey any ownership rights or intellectual property transfer of any kind.
All proprietary notices, logos and copyright identifiers included within the software or materials must remain intact and may not be removed, obscured or altered.
Any feedback, suggestions or ideas submitted by the user may be used by Loviero Design Ltd without restriction or obligation, provided that such use does not infringe personal data protection laws.
UPDATES, MODIFICATIONS AND SUPPORT
Loviero Design Ltd may, from time to time, provide updates, patches, enhancements or new features to improve the performance, stability or functionality of its software.
Such updates may be automatically installed without notice, unless the product’s documentation specifies otherwise.
Technical support or maintenance services, where available, are provided at the Company’s discretion and in accordance with published service terms. Loviero Design Ltd is under no obligation to provide updates, maintenance or continued availability of any software version beyond its life cycle.
USER DATA AND PRIVACY
Your use of the software may involve the processing of personal or technical data. Loviero Design Ltd collects and manages such data in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 and our publicly available Privacy Policy.
Data may include identifiers such as IP addresses, device type, operating system, browser information or usage statistics. Such data is used for operational purposes, product improvement, fraud prevention and compliance.
Marketing communications are provided only with your consent and can be withdrawn at any time. Loviero Design Ltd does not sell or rent user data to third parties.
TERMINATION
This Agreement and the rights it grants remain effective until terminated by either party. Loviero Design Ltd may terminate the licence immediately and without prior notice if you fail to comply with any provision of this Agreement.
Upon termination, you must cease all use of the software, delete all copies and destroy all related materials. Termination does not affect any accrued rights or obligations existing prior to termination.
Loviero Design Ltd reserves the right to suspend or revoke access to online services or licensed materials for any user found to be in breach of these terms or engaged in fraudulent, abusive or illegal activities.
DISCLAIMER OF WARRANTIES
The software and all related materials are provided “as is” and “as available” without warranties of any kind, express or implied.
Loviero Design Ltd makes no representation or guarantee regarding:
uninterrupted operation or error-free performance
compatibility with specific hardware or systems
accuracy or reliability of results
fitness for a particular purpose
To the maximum extent permitted by law, Loviero Design Ltd disclaims any responsibility for loss of data, commercial interruption, corruption, damage to devices or any indirect or consequential damages resulting from the use or inability to use its products.
LIMITATION OF LIABILITY
In no event shall Loviero Design Ltd, its directors, employees or agents be liable for damages exceeding the total amount paid by the user for access to the software within the six months preceding the incident.
This limitation applies regardless of the nature of the claim, including negligence, breach of contract, tort or otherwise.
Nothing in this Agreement limits or excludes liability for death or personal injury resulting from negligence, fraud, or any other liability that cannot be excluded by law.
EXPORT CONTROL AND INTERNATIONAL USE
The user agrees to comply with all applicable export control regulations, trade restrictions and sanctions enforced by the United Kingdom, the European Union and the United States.
The product may not be used or distributed in territories subject to embargo or where such use would violate international law.
GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed and interpreted in accordance with the laws of England and Wales.
Any disputes arising from or relating to this Agreement shall be resolved exclusively in the courts of the United Kingdom.
For users within the European Union, online dispute resolution is available through the European Commission’s ODR platform at https://ec.europa.eu/consumers/odr.
MODIFICATION OF TERMS
Loviero Design Ltd reserves the right to modify this Agreement at any time. The revised version shall be published on lovieroltd.com and will take effect immediately upon posting. Continued use of the product after any such modification constitutes acceptance of the updated terms.
